Reorganization of shareholder structure<\/p>\n
As communicated in January of this year, Glasaal Volendam transitioned to a new structure in 2024, creating a more professional management and better representation of small shareholders. This transition also enabled the entry of a new large investor, which ensures our financial liquidity for the coming years.
\nThe new structure is shown below in an organizational chart. Glasaal Volendam Hol-ding is currently the largest shareholder. This company unites all the smaller share-holders, including many who have supported the company from the beginning. The 7 other major shareholders participate directly in R&D. Thus, R&D's shareholder meeting has only eight participants.
\nThe current percentages reflect the situation as of January 1, 2025, and obviously change if R&D issues shares to enable one or more shareholders to increase their participation, or if new shareholders appear. The participation of small shareholders will be managed through the Holding Company. All these changes, by the way, require the approval of R&D's supervisory board.
\nIn addition to the new structure, there are also changes in board composition.
\n- The supervisory board now consists of five members, one on behalf of Glasaal Vo-lendam Holding, two on behalf of the two largest shareholders and two independent.
\n- On the R&D board, Evert Smit stepped down; the board now consists of four people: Nico van Straalen, Hein Koning, Hein Schilder and Will Jonk.
\n- Glasaal Volendam Holding has its own board, consisting of Martien Hofland, Theo Tol, Johan Keizer, Louis Laan and Jan Steur.
\nGlasaal Volendam Holding and Glasaal Volendam R&D will hold their own general meetings. The Holding will adopt new bylaws, appoint the aforementioned new board members and provide representation at the R&D meeting.<\/p>\n
We believe that with this new structure, the position of the \"small\" share-holders has been strengthened while at the same time the operations are becoming more professional and efficient.<\/p>\n
